Terms and Conditions for the provision of electronic services
These Terms set out the rules for using the Roadence service and for providing intermediation services in the purchase of road charges and travel products, including the rights and obligations of the Customer and the Service Provider.

§ 1. General provisions
- These Terms set out the rules for the provision of electronic services by the Service Provider via the roadence.com website (the "Service"), in particular the rules for concluding and performing contracts, payments, withdrawal, complaints and data protection.
- The Service Provider is Gracjan Szymczak conducting sole proprietorship business under the name PXL MEDIA Gracjan Szymczak, ul. Turoszowska 9/15, 91-025 Łódź, VAT ID 9472018058, REGON 542668215, entered in the Central Registration and Information on Business (CEIDG), operating under the Roadence brand (the "Roadence" or "Service Provider").
- These Terms are made available free of charge in a manner that allows them to be obtained, reproduced and stored (Article 8 of the Act of 18 July 2002 on the provision of electronic services).

§ 2. Definitions
- Customer - a natural person with full legal capacity, a legal person or an organizational unit using the Service.
- Consumer - a Customer who is a consumer within the meaning of Article 22¹ of the Civil Code and, with respect to the right of withdrawal, also an entrepreneur with consumer rights (Article 385⁵ of the Civil Code).
- Service - an intermediation service provided electronically, consisting in selecting and intermediating in the purchase, in the name and on behalf of the Customer, of Official Products and Additional Products, together with the delivery of documents.
- Official Products - vignettes, road charges and tolls collected by operators or national systems.
- Additional Products - insurance and assistance, eSIM, accommodation and other third-party products.
- Payment Operator - mBank S.A. (Paynow), a licensed national payment institution.
- Contract - a contract for the provision of the Service concluded between the Customer and the Service Provider under these Terms.
§ 3. Technical requirements
- To use the Service you need: a device with Internet access, an up-to-date browser with JavaScript and cookies enabled, and an active e-mail account.
- It is prohibited to provide unlawful content or to use the Service in a manner that disrupts its operation.
§ 4. Nature and scope of services
- Roadence acts as an intermediary and is not an issuer of vignettes, a toll road operator or an insurance company.
- With respect to Official Products, the purchase contract is concluded between the Customer and the relevant operator/national system. By placing an order, the Customer grants the Service Provider a special power of attorney to conclude the purchase contract in the Customer's name and on the Customer's behalf and to pay the official charge from the funds provided by the Customer.
- With respect to Additional Products, the Service Provider intermediates in their purchase or redirects the Customer to the relevant supplier. As regards insurance and assistance, the Service Provider acts solely as a referring party (under an affiliate model): it presents the offer and redirects the Customer to an authorized distributor or insurance company, does not provide insurance advice, does not conclude insurance contracts or collect premiums, and is not an insurance agent or broker within the meaning of the Act of 15 December 2017 on insurance distribution. The insurance contract is concluded directly between the Customer and the authorized entity, on that entity's terms.
- The correctness of the vehicle data (registration number, category) and the route provided by the Customer determines proper fulfillment; the Customer is responsible for their correctness.
§ 5. Conclusion of the contract and order fulfillment
- An order is placed by: (a) indicating the route and scope (Official and Additional Products - jointly or individually), (b) providing the data necessary for fulfillment, (c) accepting the Terms and the required consents, (d) making the payment.
- The presentation of Products in the Service constitutes an invitation to conclude a contract. The contract is concluded upon confirmation of the order and successful completion of payment; the Customer receives confirmation at their e-mail address.
- Fulfillment takes place immediately, usually within a few minutes. Documents (confirmations, vignettes, codes) are delivered to the Customer's e-mail address.
- The order fulfillment time is counted from the moment a positive payment authorization is obtained, and for bank transfer or card payments - from the day the Seller's bank account is credited. Delivery of the Products is exclusively electronic (documents and confirmations sent to the Customer's e-mail address) and does not involve any additional delivery or physical shipping costs.
§ 6. Prices, remuneration and currencies
- Prices presented in the Service, in particular prices marked "from" and prices of Products with variable availability or exchange rate (e.g. ferries, accommodation), are indicative until the order is finalized. The final and binding price, together with the breakdown into the official charge and the service commission, is presented to the Customer for acceptance immediately before payment is made.
- The total price consists of: (a) the official charge for Official Products and (b) the Service Provider's service commission, shown separately. The Service does not apply hidden fees.
- Prices are given in Polish zloty (PLN) and include taxes due in accordance with the applicable regulations. The amount of the commission may depend on exchange rates.
§ 7. Payments
- Payments are handled by the Payment Operator (Paynow): BLIK, payment cards, Google Pay, Apple Pay and other available methods.
- Roadence does not store, transfer or aggregate Customers' funds and does not provide payment services within the meaning of the Act of 19 August 2011 on payment services.
- Payment card details and other payment authentication data are entered by the Customer directly in the secure environment of the Payment Operator. Roadence does not obtain, process or store Customers' full payment card details.
- The entity providing online card payment services is Autopay S.A.
- Available payment methods: BLIK, fast online transfers, deferred payments (PayPo) and payment cards: Visa, Visa Electron, Mastercard, MasterCard Electronic, Maestro.
- The Seller refunds payments using the same payment method used by the Customer, unless the Customer has expressly agreed to a different refund method that does not entail any costs for them. For transactions made by payment card, funds are refunded to the bank account assigned to the Customer's payment card.
§ 8. Right of withdrawal from the contract
- A Consumer may withdraw from a distance contract within 14 days without giving a reason (Article 27 of the Act of 30 May 2014 on consumer rights) by submitting a statement - including by using the template set out in Appendix No. 1.
- The right of withdrawal does not apply in particular to contracts:
- for the provision of services, if the Service Provider has fully performed the service with the Consumer's express consent, the Consumer having been informed before the performance began of the loss of the right of withdrawal (Article 38(1));
- for the supply of digital content not supplied on a tangible medium, for which the Consumer is obliged to pay, under the terms of Article 38(13).
- By placing an order for Products fulfilled immediately, the Consumer gives express consent to the commencement of performance before the withdrawal period expires and acknowledges the loss of that right. Consent is collected by ticking a separate box that is not pre-ticked.
§ 9. Complaints
- Complaints may be submitted to kontakt@roadence.com, providing the data enabling identification of the order together with a description of the objections and the request.
- The Service Provider examines the complaint and informs the Customer of how it has been resolved within 14 days of receipt. Failure to respond within this period means that the Consumer's complaint is deemed accepted.
§ 10. Out-of-court dispute resolution
- A Consumer may use out-of-court methods of handling complaints and pursuing claims (including WIIH mediation, a permanent arbitration court, a consumer ombudsman).
- The EU ODR platform is available: ec.europa.eu/consumers/odr.
§ 11. Liability
- The Service Provider exercises due diligence in matching charges to the route and date. It is not liable for the consequences of the Customer providing incorrect vehicle or route data, or for the actions of national operators.
- Towards Customers who are not Consumers, the Service Provider's liability is limited to the value of the order, to the broadest extent permitted by law; the limitation does not apply to damage caused intentionally or, towards Consumers, to the extent that it is impermissible.
§ 12. Intellectual property
- The Service, its content, marks and software are legally protected. Third-party trademarks (including those of payment operators and national systems) are used solely for informational purposes.
§ 13. Personal data and newsletter
- The rules for processing data are set out in the Privacy Policy; the rules for cookies - in the Cookie Policy.
- The newsletter and marketing communications are sent only with consent, which can be withdrawn at any time.
§ 14. Amendments to the Terms and final provisions
- The Service Provider may amend the Terms for important reasons (changes in regulations, in the scope of services, or technical considerations), giving prior notice. Orders placed before the change are subject to the previous version of the Terms.
- The applicable law is Polish law, subject to the mandatory provisions of the law of the Consumer's country of habitual residence (Rome I Regulation). The Terms enter into force on the date of publication.
